Your registration to use Marine RFQ services and/or use of the website constitutes your agreement and acceptance to be bound by and comply with the Terms and Conditions, Privacy Policy and all other stated rules. If you do not agree to the Terms and Conditions you must immediately terminate use of the website.

Marine RFQ reserves the right to make changes to the Terms and Conditions, Privacy Policy and all other stated rules at its sole discretion. Marine RFQ may make improvements and/or changes in the website, platform(s), and/or information or program described on the website at any time. Your use of the website constitutes your acceptance of these changes.

Privacy Policy

The information you as a user of the site or the Marine RFQ Platform provide during your registration will be safeguarded by Marine RFQ. Marine RFQ may use it to keep you informed of relevant products and services. A list of Marine RFQ participants or users names/member firms might be posted on the website (www.marinerfq.com). Marine RFQ does not share any nonpublic personal information with any nonaffiliated third parties, except in the following circumstances: (1) disclosure to companies that provide services necessary to effect a transaction that you request or to service your account; and (2) disclosure to government agencies, courts, parties to lawsuits, or regulators in response to subpoenas. In such cases, Marine RFQ will share only the information that it is required or authorized to share.

User Conduct and Responsibility

Marine RFQ provides this website to, among other things, including its platform to enable users with requests for product and service information to contact the companies that are a part of Marine RFQ database of companies and are listed on this website (“Suppliers”) and any other third parties that may advertise on this website or provide services, features or information in connection with this website or to Marine RFQ (“Providers”). This website incorporates online collaborative applications and tools to allow users to obtain pricing and other information about products and services listed on this website. Descriptions of, or references to, products or services offered by Suppliers or Providers on this website do not imply endorsement of any product or service, or constitute a warranty, by Marine RFQ or its affiliates.

We are not involved in any sales transactions regarding products or services offered by Suppliers or Providers on this website. Marine RFQ might, however, provide some assistance in obtaining prices from suppliers to buyers who are new to the portal as training for them and marketing. As a result, we have no control over such sales transactions, including without limitation the quality, safety or legality of the items transacted; the accuracy of the information or specifications provided; the ability of users or buyers to buy items; the ability of users or suppliers to deliver items promised; or the ability of buyers to pay for items. These Terms and the information provided by this website in no way override the terms and conditions of your purchase of any product or service except as specifically provided herein. We cannot ensure that a user, buyer, Supplier or Provider will complete a transaction or that a transaction will be completed in a satisfactory manner. We encourage you to communicate directly with users, buyers, Suppliers and Providers through the tools available on this website or by other commercially available means that you might normally use in conducting transactions. IT IS YOUR SOLE RESPONSIBILITY TO QUALIFY THE USER, BUYER, SUPPLIER OR PROVIDER THAT YOU CHOOSE TO DO BUSINESS WITH.

The passage of time can render information stale, and you should not rely on the continued accuracy of information posted by other users. Marine RFQ and its content suppliers have no responsibility to update any information contained in any such material. All viewers should carefully check to determine if material contained on this site or in reports developed from such materials include any dated content and conduct themselves accordingly.

You agree to: (a) provide true, accurate, current and complete information about yourself and (b) maintain and make reasonable efforts to promptly update the information to keep it true, accurate, current and complete. We have the right to suspend or terminate your account (if any) and refuse any and all current or future use of this website or the services provided in connection therewith (or any portion thereof) for any reason. Further, any user accounts (including your Marine RFQ eMarketplace account) and access or user profile information created or provided in connection with this website may not be transferred or sold to another party.

Use License

Marine RFQ allows its registered users to access its platform and make use of its services. Each license is assigned to one single account an account must be linked to an organization or branch, and one or more users may have sub-accounts that belong to the main organization or branch account. Each sub-account will have a separate profile, username, password and set of permissions. An organization may have any number of branches.

To register a branch or an organization, you must provide the full legal name of the organization, current address and a valid email address.

To register as a user, you must provide your full legal name, phone number and a valid email address.The first user to register the organization or branch is given full authority to administer the account. As the account administrator, you may add users to the account and you are responsible for determining the permissions for additional users. Marine RFQ cannot and will not be held liable for any loss or damage from the account administrator’s failure to appropriately manage user permissions.

The account administrator is responsible for managing the passwords associated with the account. We cannot and will not be liable for any loss or damage from the account administrator’s failure to maintain the security of the account and passwords.

You may not use Marine RFQ services or its partners’ or affiliates’ services for any illegal or unauthorized purpose. Nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of the United States and the your local laws.

As a Marine RFQ user, you are responsible for all activity and content (data, graphics, photos, links) that is uploaded under your Marine RFQ account.

You must not transmit any worms or viruses or any code of a destructive nature.If you breach or violate any of these terms of service according to our sole discretion, we will immediately terminate your account.

Limitation of Liability

You expressly understand and agree that Marine RFQ shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.

In no event shall we or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising, including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, partners, officers, directors, agents and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party. Your use of the service is at your sole risk. The service is provided on “as is” and “as available” basis without any warranty or condition, express, implied or statutory. We do not warrant that the service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, or that any errors in the service will be corrected.

Intellectual Property and Customer Content

We do not claim any intellectual property rights over the material you provide through and in Marine RFQ. All material you upload remains yours. You may remove your Marine RFQ account at any time by deleting your account. Doing so will also remove all content you have stored on the service.

By uploading images and item description or other content to Marine RFQ, including information uploaded through the import function, you agree to allow specified users to view them, you agree to allow us to store them and you agree that we can, at any time, review all the content submitted by you to Marine RFQ.

NOTICE AND PROCEDURE FOR MAKING CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT

If you believe that your work has been copied in a way that constitutes copyright infringement or your intellectual property rights have otherwise been violated, please provide the Marine RFQ agents the written information specified below:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
• A description of the copyrighted work or other intellectual property that you claim has been infringed;
• A description of where the Content that you claim is infringing is located on a Marine RFQ platform, including the category its under and the port and country;
• Your address, telephone number, facsimile number and email address;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or other intellectual property owner, its agent or the law; and
• A statement by you, under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or other intellectual property owner or are authorized to act on behalf of the copyright or other intellectual property owner.

Marine RFQ may terminate the accounts of repeat infringers or block their future access to the site.

Resources and Sources

Marine RFQ may provide access to online directories (labeled as marine suppliers that might be arranged per port and/or country, and/or categories) of independent third parties. Marine RFQ does not employ those third parties and they are not part of Marine RFQ. We do not endorse any parties referenced in the directories. We take no responsibility for any work performed by those parties or their failure to fulfill a work order. Links to websites of the parties, announcements about parties’ services or offers, and responses to email inquiries regarding the parties are provided solely for informational purposes at our discretion and shall not be construed to provide or imply permission, or an affiliation, position regarding any issue in controversy, authentication, appraisal, sponsorship, nor a recommendation or endorsement of any website, product, service, activity, business, organization, or person, and any offers, products, services, statements, opinions, content or information on any linked third party website.

Under no circumstances shall Marine RFQ be liable for any direct, indirect, incidental, special, consequential, exemplary or other damages whatsoever, including, without limitation, any direct, indirect, incidental, special, consequential, exemplary or other damages that result from any contractual relationship between you and any of the parties provided in the Marine RFQ resources and sources. These limitations shall apply even if MARINE RFQ has been advised of the possibility of such damages. The foregoing limitations shall apply to the fullest extent permitted by law.

Payment of Fees

Account holders who register for Marine RFQ packages that require payment must use a valid credit card to pay for the service. Account holders must prepay for the service, if applicable. If you choose any of our packages that are listed on our website, you understand that all of the 3 packages are recurring packages that automatically renews every 30 days, for the duration of the agreement which is 12 months, starting the day the service is purchased.

You authorize regularly scheduled charges to your debit/credit card. You will be charged the amount indicated in the package you chose. A receipt for each payment will be emailed to you and the charge will appear on your bank statement as an “Marine RFQ.” You agree that no prior-notification will be provided unless you change by upgrading or downgrading your packages, in which case you will receive notice from us at least 10 days prior to the payment being collected.

All fees are exclusive of all federal, provincial, state or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future (“taxes”). Due to the nature of our eMarketplace and due to the amount of data entered and the space it occupies we do not provide refunds after a registration is complete. You are responsible to notify us 3 month prior to your intended cancellation. We require a minimum of 90 days to complete a cancellation of an account.

Termination and Cancellation

You may stop using the Service at any time by closing your Account, or ceasing to use the Service. In such event, you will not be entitled to any refund of any fees that you have paid prior to you ceasing to use the Service.

Marine RFQ reserves the right in its sole discretion to cease or suspend providing all or any part of the Service immediately without any notice to you, if: (a) you breach, or threaten or intend to breach, these Terms; (b) Marine RFQ is required to do so under any applicable law, rule or regulation, including, without limitation, the CAN-SPAM Act; (c) the Service relies on data, services or another business relationship between Marine RFQ and a third party service provider, and such relationship terminates or changes in such a way that affects Marine RFQ’s ability to continue providing the Service; (d) continuing to provide the Service could create a substantial economic burden on Marine RFQ as determined by Marine RFQ in its sole discretion; or (e) continuing to provide the Service could create a security risk or material technical burden as determined by Marine RFQ in its sole discretion.

You may cancel your account at any time by emailing Support@marinerfq.com. For all cancellations we require a 3 month notice prior to your intended cancellation date, giving us enough time to make sure that all data have been erased from the system and to update the full marketplace and do changes to the system where needed. If you choose to cancel earlier we will still collect an amount equivalent to the 3 months to ensure that we can cover our platform maintenance costs.

Once your account is cancelled, all of your content will be immediately deleted from the service. Deletion of all data is final.

We reserve the right to modify or terminate the Marine RFQ service for any reason, without notice at any time.

With respect to fraud, without limiting any other remedies, we may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with Marine RFQ.

Modification to Services and Prices

We may change prices for using Marine RFQ with 10 days’ prior notice. We may provide such notice by posting the changes to the Marine RFQ website (Marine RFQ.com) and/or email notification. We reserve the right to start and/or stop any special offer at any time without prior notice. We reserve the right at any time to modify or discontinue the service (or any part thereof) with or without notice.
We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the service.

Optional Tools

We may provide you with access to third party tools. We do not provide input for these tools, nor do we monitor or control them. You acknowledge and agree that we provide access to such tools as is without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third party tools.Any use by you of optional tools offered through Marine RFQ is entirely at your own risk and discretion. You should ensure that you are familiar with and approve the terms on which tools are provided by the relevant third party provider(s).

Intellectual Property Protection

We support the protection of intellectual property and expect Marine RFQ users to do the same. It is our policy to respond to all notices of alleged intellectual property infringement. If individuals believe that one of our users is infringing their intellectual property rights, those individuals may send us formal notices with supporting documents to our address provided our contact us page. Upon receiving the notice with the appropriate supporting documents, we may remove or disable the disputed account and allow for corrective actions, or notify the current account holder about the complaint. Once provided with a notice of takedown, the user may reply with a counter notification with supporting documents, if the user objects to the complaint. The original complainant has 14 business days after we receive a counter notification to seek a court order restraining the users from engaging in the infringing activity. Otherwise, we restore the material.

The materials on Marine RFQ’s web site are provided “as is”. Marine RFQ makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Marine RFQ does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.

Revisions and Errata

The materials appearing on Marine RFQ’s website could include technical, typographical, or photographic errors. Marine RFQ does not warrant that any of the materials on its web site are accurate, complete, or current. Direct Competitor Of Marine RFQ

You may not access the platform nor our website if you are a direct competitor of Marine RFQ, except with Marine RFQ prior written consent. In addition, you may not access the platform for purposes of monitoring their services, performance or functionality, or for any other benchmarking or competitive purposes.

Changes To The Privacy Policy

We reserve the right to modify this Privacy Policy at any time without prior notice. In the event that we update or modify this Privacy Policy, we will strive to post such updates or modifications on this Website for a period of thirty days following any such modifications, and the last date this Privacy Policy was updated will be indicated as the latest Effective Date at the top of this Privacy Policy. Therefore, you are advised to review this Privacy Policy occasionally, or at least every thirty days. Governing Law

By accessing the website and forums, you and Marine RFQ agree that all matters relating to the website and forums shall be governed by the laws of the Commonwealth of Virginia, without regard to choice of law principles. You and Marine RFQ also agree that jurisdiction shall be in the Commonwealth of Virginia.

Forecasts, Reports & Estimates

This clause refers to Marine RFQ numbers in forecasting, RFQ reporting and monthly updates sent or transmitted by emails, press releases, news, PR campaigns, communicated verbally or broadcasted on the website. Applies to Marine RFQ and all of its staff and employees or service providers.

In connection with the numbers of Buyers’ RFQs issued, these are estimates built on certain factors, forecasts, plans and financial projections. Suppliers acknowledge that there are uncertainties inherent in attempting to make such estimates, forecasts, plans and projections, that supplier is familiar with such uncertainties, that supplier is taking full responsibility for making its own evaluation of the adequacy and accuracy of all estimates, forecasts, plans and projections so furnished to it (including the reasonableness of the assumptions underlying such estimates, forecasts, plans and projections), and that supplier shall have no claim against Marine RFQ with respect thereto. Accordingly, Marine RFQ do not make any representation or warranty with respect to such estimates, forecasts, plans and projections (including any such underlying assumptions).

Marine RFQ used previous data to generate such estimates for projected RFQs that could be issued by buyers. Some of these RFQsmight not be awarded or vessels’ would be in some circumstances ‘not fixed’ and so these RFQs do not guarantee any income. Some ports are busier than others, some buyers don’t sail all ports where suppliers exist or operate. Suppliers might not receive RFQs for long periods of times if buyers don’t sail to these ports. Marine RFQ buyers sometimes issue anonymous RFQs and do not disclose their identities to certain suppliers. Marine RFQ is not obliged to make these buyers public to suppliers.Some suppliers might receive more RFQs than others depending on whom the buyers chooses these are decisions left to the buyer and Marine RFQ does not have any control over it. Some buyers like to reuse the same suppliers they awarded previously even after issuing RFQs.

Suppliers providing lowest prices must not assume guaranteed wins, buyers have different KPIs to selecting suppliers and price is not always the only factors. Some buyers might issue RFQs without having the intention to purchase services but to generate estimates, Marine RFQ nor these buyers are obliged to the supplier in anyway or fashion to issue RFQs even if some costs were incurred by suppliers.

Users should not rely on this material to make a decision and we will not be liable for loss or damage sustained by any person acting in reliance on this material. We enter into transactions on the understanding that the customer has made their own independent decision to enter into the transaction, determined that the transaction is appropriate for them, ensured they have the capacity to evaluate and understand the terms, conditions and risks and are not relying on any communication of information from us as advice of any kind. Marine RFQ is only reporting RFQs that were blasted during the ‘Free Trials’ in your country of service. The RFQs reported are from different buyers that allowed RFQs to be broadcasted to unregistered suppliers offline and not through the platform.Some of these RFQs were from companies based in you country of operations with worldwide operations including your reported country of operations. Marine RFQ does not force or influence buyer’s selection of suppliers. And in some circumstances a buyer places the same RFQ multiple times until they get satisfying answers. The same buyer repeats some of the RFQs in different countries. Some buyers place RFQs as tests and to generate estimates and/or set budgets. These numbers must be read in accordance with the terms & conditions of Marine RFQ, Inc.
